in 2005, is this the correct syntax to grant 'alter trace' to
a windows account?
example:
grant alter trace [domain\username]

Is there any way to grant alter trace permission for SQL server 2000 box rather than giving sysadmin permission ?

No, the only option in SQL 2000 is sysadmin.
